Message from the CEO
The second quarter was characterized by strategic expansion. We completed the acquisition of KPL, launched new products across several parts of the business and strengthened underlying profitability. The reported figures were affected by one-off costs related to the acquisition, but beneath the surface, they reflect a broader and more resilient business.

Net sales amounted to SEK 34,316 thousand (28,871), an increase of 19 percent compared with the corresponding period last year, or approximately 21 percent adjusted for currency effects.

Reported operating profit was affected by transaction-related one-off costs of approximately SEK 3.5 million associated with the acquisition of KPL. At the same time, underlying profitability strengthened significantly. Adjusted EBITDA amounted to SEK 10,336 thousand (6,036), corresponding to a margin of approximately 30 percent, while adjusted EBIT nearly doubled compared with the previous year. The acquisition will also result in increased depreciation and amortization of approximately SEK 0.7 million per quarter going forward. Excluding the one-off items, the underlying profitability trend was very strong and confirms the resilience of our business model during a period of strategic expansion.

Genovis is built on enzyme technologies used across three complementary areas:

  • protein analysis and drug development
  • Genomics based on our RNase inhibitor technology
  • Proteomics with a growing offering following the acquisition of KPL

The established analysis business performed strongly during the quarter. Excluding the service business, product sales grew by approximately 20 percent, or approximately 22 percent adjusted for currency effects. Demand was healthy across several customer segments, with growth among both large pharmaceutical companies and biotechnology companies. The service business, however, was significantly weaker than in the corresponding quarter last year. As it is project-based, revenue varies between quarters, but we continue to see good opportunities to develop the business.

Genomics performed very strongly during the quarter and delivered its best quarter to date. Sales of SEQguard were the clearest growth driver and gained broad traction among leading academic institutions, largely through our partnership with Plasmidsaurus. At the same time, the business is broadening and becoming less dependent on individual large customers, making it more resilient. Genomics is on track to become a central part of our future growth.

Within the analysis business, our ADC technologies are currently used primarily for research and method development. We are also seeing growing interest in applying the same technologies to the development and manufacturing of new ADC therapeutics. Over time, this creates an opportunity to complement our product sales with licensing revenue and recurring revenue linked to commercial manufacturing. We are currently engaged in discussions with several customers that are evaluating our technologies for their clinical programs. This development remains at an early stage but represents a significant long-term growth opportunity.

During the quarter, we also continued to strengthen our platform. The acquisition of KPL on June 1 broadens our product portfolio and customer base within Proteomics and strengthens our position in an attractive market with favorable long-term growth prospects.

We also continue to develop our innovation platform. On June 26, we launched AlligBAITOR — a new product for antibody enrichment and native antigen release — and received the first orders before the end of the quarter, confirming early market interest.

Overall, the second quarter represented an important step in Genovis’ development. We strengthened underlying profitability while continuing to broaden the business and create the conditions for sustained long-term growth.

A quarter of this magnitude places significant demands on the organization, and I would like to extend my sincere thanks to all Genovis employees for your commitment and your ability to deliver during a period of change. I would also like to warmly welcome our new colleagues from KPL. With a broader product portfolio and a more diversified business, I look forward to what we can achieve together during the second half of the year and to the opportunities ahead as we continue to create value for customers and shareholders.

Genovis Launches AlligBAITOR™ and Strengthens Its Offering in Advanced Protein Analytics

June 26, 2026 | |

Genovis AB today announces the commercial launch of AlligBAITOR™, a novel immunoglobulin-binding protein that expands the company’s offering in advanced protein analysis. The product enables capture of all major antibody isotypes and uniquely facilitates the release of antigens from antibody-antigen complexes under native conditions. Together with the high-performance enzymes added through the recent acquisition of KPL, AlligBAITOR strengthens Genovis’ proteomics offering by enabling new workflows for the analysis of complex biological samples. The product has already been evaluated by researchers and industry experts across multiple application areas, consistently demonstrating its potential to enable new and improved workflows.

AlligBAITOR represents a new category of tools within the Genovis portfolio and complements the company’s established SmartEnzymes™ platform. Through high-affinity binding to the Fab region of immunoglobulins, the product captures all major antibody isotypes, including IgG, IgA, IgM, and IgE, from complex biological matrices such as human serum.

Unlike traditional antibody-binding proteins such as Protein A and Protein G, which bind only selected antibody classes, AlligBAITOR provides broad isotype coverage. In addition, the product offers a unique capability to release antigens bound to antibodies while preserving their native structure. This opens new possibilities across proteomics, bioanalysis, and diagnostics.

Interest from early access users has been strong across multiple application areas, including proteomics research, bioanalytical characterization, and diagnostic development. The broad application potential is further supported by independent academic validation. A recently published preprint from Professor Albert Heck’s group at Utrecht University, one of the world’s leading centers in protein mass spectrometry, demonstrates the utility of AlligBAITOR in advanced proteomics workflows and the analysis of complex biological samples.

“What has impressed me most during the early access phase is the breadth of interest we’ve seen across very different customer groups. Researchers in proteomics, bioanalysis, and diagnostics have all identified applications relevant to their work. This confirms that AlligBAITOR is not built around a single workflow but rather represents a platform with the potential to enable entirely new analytical strategies,” says Rolf Lood, VP R&D at Genovis.

AlligBAITOR™ is available in two product formats.

AlligBAITOR™ Lyophilized enables pan-Ig capture in solution and can simultaneously release antigens from antibody-antigen complexes under fully native conditions without the use of denaturing reagents. This capability has been demonstrated using clinically relevant antibody-antigen pairs, including trastuzumab-HER2 and adalimumab-TNFα.

AlligBAITOR™ Affinity Purification is supplied as ready-to-use microspin columns and enables rapid enrichment or depletion of immunoglobulins from serum. This improves the detection of low-abundance proteins in complex biological samples and creates new opportunities across proteomics, bioanalysis, and diagnostics.

“AlligBAITOR represents more than a product launch. Together with the proteomics tools added through the acquisition of KPL, the product strengthens our offering in advanced protein analysis and enables integrated workflows for serum and plasma proteomics. By combining immunoglobulin capture, antigen release, and high-performance enzymes in a coordinated solution, we create new opportunities for researchers to analyze complex biological samples and develop next-generation proteomics methods,” says Fredrik Olsson, CEO of Genovis.

Genovis Acquires KPL — Expanding Its Enzyme Platform with a Proprietary Portfolio of Precision Proteases for Protein Analysis

June 1, 2026 | |

Genovis AB (publ) (“Genovis”) today announces that it has entered into an agreement to acquire, and completed the acquisition of, 100 percent of the shares in KPL ApS (“KPL”), a Denmark‑based life science tools company with a proprietary portfolio of precision enzymes (proteases), both commercialized and in development, for mass spectrometry‑based protein analysis across academic research, diagnostics and drug development. The acquisition expands Genovis’ enzyme platform into a complementary, fast-growing, high‑usage segment of protein analysis. By adding KPL’s proprietary protease portfolio alongside SmartEnzymes™, Genovis strengthens its coverage of LC‑MS‑based proteomics, creating tangible value through more reliable, scalable, and integrated workflows. The total consideration consisted of an upfront payment of MDKK 30.5, settled partly in cash and partly through 1,395,587 newly issued Genovis shares at a subscription price of SEK 20.03 per share (the “Consideration Shares”), issued pursuant to the authorisation granted by the Annual General Meeting on 18 May 2026, and a variable, sales-based earn-out, payable in 2030.

KPL is a Denmark‑based private life science tools company headquartered in Copenhagen, founded by Tanveer Singh Batth, Cristina Hernandez Rollan, and Jesper Velgaard Olsen, developing and marketing recombinant, sequencing‑grade proteases for bottom‑up proteomics workflows — Lys‑C, Arg‑C Zero™, Trypsin RMS, and Trypsin/Lys‑C premium mix. The company’s products are used in mass spectrometry‑based protein analysis across biopharmaceutical research and development, quality control, and academic research. Following completion of the acquisition, KPL’s portfolio will be commercialized through Genovis’ global sales and distribution platform, broadening market reach while maintaining a dedicated focus on enzyme innovation. KPL was founded in 2024 as a spin-out from the laboratory of Prof. Jesper Velgaard Olsen, one of the foremost researchers in mass spectrometry-based proteomics, at the Novo Nordisk Foundation Center for Protein Research (CPR), University of Copenhagen, Denmark.

The acquisition encompasses not only KPL’s current commercial portfolio but also their proprietary enzyme engineering platform, several pipeline products under development, associated intellectual property, and the underlying recombinant manufacturing know‑how that provides a differentiated technological foundation for continued enzyme innovation within Genovis. This proprietary platform is a core element of the strategic rationale for the acquisition and is expected to generate additional product launches over the coming years.
Proteomics is the systematic analysis of proteins in biological systems. It is a fast-growing area of biopharmaceutical development, quality control, and research, where increasing automation and regulatory demands are raising the bar for enzyme performance and reproducibility. KPL’s proprietary recombinant manufacturing process delivers a level of batch-to-batch consistency and cleavage specificity that conventional animal-derived alternatives cannot match. The addition of KPL’s portfolio expands Genovis’ addressable share of the LC‑MS‑based protein analysis market and strengthens its position as a provider of high-performance enzyme tools to customers across the life science industry.

The acquisition of KPL is expected to have a marginal impact on Genovis’ consolidated earnings and other financial effects for the financial year 2026.

The upfront payment amounted to MDKK 30.5, of which MDKK 11.1 was settled in cash at closing and MDKK 19.4 was settled through the issuance of 1,395,587 Consideration Shares. The Consideration Shares were issued at a subscription price of SEK 20.03 per share, corresponding to the 30-day volume‑weighted average price of Genovis shares as of 29 May 2026, and were issued pursuant to the authorisation granted by the Annual General Meeting on 18 May 2026. The issuance of the Consideration Shares entails a dilution of approximately 2 percent of the share capital and votes in Genovis. The founders have entered into customary lock‑up undertakings pursuant to which the Consideration Shares may not be disposed of prior to 2030, subject to limited customary exceptions.

In addition to the upfront payment, the founders will be entitled to a variable earn‑out linked to the future commercial performance of KPL’s products between 1 June 2026–31 March 2029 (the “Earn‑out Period”). The earn‑out is contingent on KPL products realising accumulated sales of MSEK 24.4 during the Earn-out Period and it is therefore not determinable at the time of completion but would be payable in the beginning of 2030.

Genovis CEO Fredrik Olsson commented:

“We are delighted to welcome the KPL team to Genovis. They have built an impressive company — with a growing customer base and a proprietary enzyme platform that is genuinely differentiated. We look forward to making KPL’s unique portfolio available to significantly more researchers through our global commercial platform, and equally to the expertise and innovative capabilities they bring to Genovis as we continue to develop the next generation of enzyme tools.”

CEO and Co-founder of KPL, Tanveer Singh Batth (PhD), commented:
“My co‑founders and I are very pleased to become part of Genovis. Having worked with the Genovis team previously, we know firsthand that they share our commitment to developing high-quality enzyme tools for the research community. Our products have gained strong traction, and joining Genovis is the right step to support our continued development. We look forward to benefiting from Genovis’ commercial platform and industry reach, which will allow us to focus on further developing our protease portfolio and supporting customers more effectively.”

SEB Corporate Finance acted as exclusive financial advisor on the transaction.

Genovis AB Interim Report January-March 2026

April 28, 2026 | |

Stable growth, new products, and expanded business opportunities

January – March 2026

  • Net sales totaled SEK 33,506 (32,292) thousand, representing a growth of 4%, corresponding to 17% when adjusted for currency effects.
  • Operating profit before depreciation and amortization (EBITDA) totaled SEK 9,510 (8,906) thousand.
  • Earnings per share totaled SEK 0.06 (0.05).
  • Cash flow from operating activities was SEK 16,511 (10,652) thousand.

Message from the CEO
The first quarter was marked by solid underlying growth, improved profitability, very strong cash flow, and high activity across several parts of our business.

Net revenue amounted to SEK 33,506 (32,292) thousand. Adjusted for currency effects, we grew 17 percent, and the reported growth of 4 percent reflects the significant headwind we face from the strengthening Swedish krona, which impacted sales by approximately SEK 4 million compared to the same quarter last year. The underlying business is sound and the direction is clear.

We saw strong development among large pharmaceutical companies during the quarter, with organic growth exceeding 30 percent in this segment. The biotech and academic markets remain below first quarter last year, but we note that the sequential recovery in the biotech segment that we observed in the fourth quarter of 2025 has continued into 2026 — which I view as a positive signal for the remainder of the year.

Service revenue was significantly lower in the quarter compared to the same period last year, largely explained by Q1 2025 containing larger project orders that have not been repeated in the early part of 2026. The nature of our service business means that individual larger project orders can create substantial variations between quarters. Product sales, excluding license revenues, developed strongly and showed currency-adjusted growth of approximately 27 percent.

Profitability improved during the quarter. EBITDA amounted to SEK 9,510 (8,906) thousand, corresponding to a margin of 28.4 percent (27.6) — an improvement that confirms our business model and cost discipline hold firm even in a challenging currency environment. Cash flow from operating activities improved strongly, reinforcing our financial position and flexibility.

Activity in the ADC space is increasing and we see growing interest in our technologies for the development of next-generation ADCs. During the quarter, we entered into a global, non-exclusive license agreement for our EndoS2 enzyme technology with a privately held biotechnology company focused on ADC therapies. The agreement generated initial license revenues and provides rights to milestone payments upon defined clinical and commercial progress — with up to approximately USD 20 million in total payments per program reaching commercialization. This is a strong validation of the strategic value of our enzyme technologies in one of the fastest-growing therapeutic areas.

During the quarter, we also launched LysCERATOR™, a new enzyme for protein analysis targeting proteomics and biopharmaceutical characterization. The launch was well received by the market and we saw rapidly growing customer interest among both large pharmaceutical companies and academic institutions across the US and Europe. Early customer feedback is positive, reinforcing our conviction that LysCERATOR addresses a genuine need in the market.

We also see markedly increased interest in our RNA analysis products. During the quarter, we entered into a strategic partnership with Single Cell Discoveries to broaden the application of SEQURNA RNase Inhibitor in advanced RNA sequencing workflows. We also launched SEQguard™ Dino Preserve in collaboration with Plasmidsaurus — a product that enables room-temperature transport of extracted RNA, eliminating the need for costly cold-chain logistics. The initial weeks following launch have shown excellent customer reception and a rapidly growing customer base, reinforcing our conviction that the SEQURNA platform has broad commercial potential.

We close the quarter with a strong financial position, improved profitability, and strong cash flow. While geopolitical and macroeconomic uncertainty continues to represent an external risk factor, I look with confidence to Genovis’ long-term growth opportunities. With a broadened and strengthened offering across both Genomics and ADC, increasing activity in the biotech segment, and a healthy core business, we are well positioned for continued progress in 2026.

Finally, I would like to thank all colleagues at Genovis for your commitment and contributions during the quarter. It is your work that creates value for our customers and lays the foundation for Genovis’ continued growth journey.

The nomination committee proposes that remuneration shall only be paid for direct costs incurred in connection with the assignment.

Item 16 – Guidelines for Remuneration of Senior Executives
The Board of Directors proposes that the Annual General Meeting resolve on the following guidelines for remuneration of senior executives. Senior executives means the Chief Executive Officer and other members of group management. In the event that a member of the Board of Directors performs work for Genovis beyond board duties, consulting fees or other remuneration may be paid for such work. The guidelines shall apply to remuneration agreed upon, and changes made to previously agreed remuneration, after the guidelines have been adopted by the Annual General Meeting 2026. The guidelines do not cover remuneration resolved by the General Meeting.

Promotion of the Company’s Business Strategy, Long-Term Interests and Sustainability
In brief, the Company’s business strategy is to develop innovative and effective solutions for the research, development and manufacture of pharmaceuticals. The strategy for conducting successful operations and achieving the Company’s financial goals consists of developing new innovative products, building long-term customer relationships and inorganic growth initiatives within the focus areas: biochemical analysis, diagnostics and applications in the manufacture of biological pharmaceuticals. Further information about the Company’s business strategy is available at www.genovis.com.
Successful implementation of the Company’s business strategy and safeguarding of the Company’s long-term interests, including its sustainability, requires the Company to be able to recruit and retain qualified employees. This requires the Company to be able to offer competitive remuneration. These guidelines enable senior executives to be offered competitive total remuneration.
Variable cash remuneration covered by these guidelines shall aim to promote the Company’s business strategy and long-term interests, including its sustainability.

Forms of Remuneration, etc.
Remuneration shall be market-based and may consist of the following components: fixed annual salary, variable cash remuneration, pension benefits, other benefits and severance pay. In addition, and independently of these guidelines, the General Meeting may resolve on, for example, share and share price-related remuneration.

Fulfilment of criteria for the payment of variable cash remuneration shall be measurable over a period of one year and may amount to at most a certain percentage, see below, of the fixed cash annual salary.

Chief Executive Officer
The Company’s Chief Executive Officer shall receive fixed and variable cash remuneration. Pension benefits, including health insurance, shall be defined contribution. Variable cash remuneration shall not qualify for pension. The Company shall make pension provisions of a maximum of 35 percent of the fixed cash annual salary. In addition to the fixed cash annual salary, the Chief Executive Officer shall receive variable cash remuneration that may amount to a maximum of 50 percent of the fixed cash annual salary per year. The variable portion of the cash remuneration is based on the Company achieving certain predetermined and measurable criteria, which may be financial or non-financial, and may also consist of individually adapted quantitative or qualitative targets. The criteria shall be designed to promote the Company’s business strategy and long-term interests, including its sustainability, by for example having a clear link to the business strategy or promoting the Chief Executive Officer’s long-term development.

Other Senior Executives
This group shall receive a market-based fixed cash annual salary as well as variable cash remuneration that may amount to a maximum of 50 percent of the fixed annual salary per year. The variable cash remuneration shall be based on the Company achieving certain predetermined and measurable criteria, which may be financial or non-financial (such as ESG). The variable cash remuneration shall also, to a certain extent, be based on predetermined targets related to individual performance and shall consist of predetermined and measurable quantitative or qualitative targets. The criteria shall be designed to promote the Company’s business strategy and long-term interests, including its sustainability, by for example having a clear link to the business strategy or promoting the executive’s long-term development.

Pension benefits, including health insurance, shall be defined contribution unless the executive is covered by defined benefit pension under mandatory collective bargaining agreement provisions. Variable cash remuneration shall qualify for pension to the extent required by mandatory collective bargaining agreement provisions applicable to the executive. Pension premiums for defined contribution pension may amount to a maximum of 35 percent of the fixed annual salary.

Conditions for Variable Remuneration and Performance Requirements
Variable cash remuneration is linked to certain predetermined and measurable criteria as described above. When the measurement period for fulfilment of criteria for payment of variable cash remuneration has ended, an assessment shall be made of the extent to which the criteria have been met. The Board of Directors is responsible for the assessment regarding variable cash remuneration for the Chief Executive Officer. Regarding variable cash remuneration for other executives, the Chief Executive Officer is responsible for the assessment. Regarding financial targets, the assessment shall be based on the most recently published financial information of the Company.

Cash Remuneration in Extraordinary Circumstances
In addition to the above, additional variable cash remuneration may be paid in extraordinary circumstances, provided that such extraordinary arrangements are time-limited and only made at the individual level, either for the purpose of recruiting or retaining executives, or as remuneration for extraordinary work efforts beyond the person’s ordinary duties. Such remuneration may not exceed an amount corresponding to 35 percent of the fixed cash annual salary per year and may not be paid more than once per year and per individual. Any decisions on such remuneration shall be made by the Board of Directors.

Derogation from the Guidelines
The Board of Directors may resolve to temporarily derogate from these guidelines, in whole or in part, if the Board of Directors in an individual case assesses that there are special reasons warranting such derogation and it is necessary to serve the Company’s long-term interests, including its sustainability, or to ensure the Company’s financial viability.

Other Benefits
Senior executives may be granted customary benefits, which may include, inter alia, a company car, occupational health services and life insurance. Such benefits may amount to a maximum value corresponding to ten percent of the fixed cash annual salary.

Severance Pay
Upon termination by the Company, the notice period may be a maximum of 12 months. Fixed cash salary during the notice period and severance pay may together not exceed an amount corresponding to 18 months’ fixed cash salary for the Chief Executive Officer and 12 months for other senior executives. Upon termination by the executive, the notice period may be a maximum of six months, without entitlement to severance pay.

In addition, remuneration for any non-compete undertaking may be paid. Such remuneration shall compensate for any loss of income and shall only be paid to the extent that the former executive does not have entitlement to severance pay. The remuneration shall be based on the fixed cash salary at the time of termination, unless otherwise required by mandatory collective bargaining agreement provisions, and shall be paid during the period in which the non-compete undertaking applies, which shall be a maximum of nine months after the end of employment.

Salary and Employment Conditions for Employees
In preparing the Board of Directors’ proposal for these guidelines, salary and employment conditions for the Company’s employees have been taken into account, with data on employees’ total remuneration, the components of remuneration and the increase and rate of increase in remuneration over time having formed part of the Board of Directors’ basis for decision in evaluating the reasonableness of the guidelines and the limitations that follow therefrom.

The Decision-Making Process for Determining, Reviewing and Implementing the Guidelines
The Board of Directors prepares proposals for guidelines for remuneration of senior executives. The Board of Directors shall prepare a proposal for new guidelines at least every four years and submit the proposal for resolution at the Annual General Meeting. The guidelines shall apply until new guidelines have been adopted by the General Meeting. The Board of Directors shall monitor and evaluate programs for variable remuneration for company management, the application of guidelines for remuneration of senior executives and current remuneration structures and levels in the Company. When the Board of Directors processes and resolves on remuneration-related matters, the Chief Executive Officer and other members of company management do not participate, to the extent they are affected by the matters.

Description of Material Changes to the Guidelines and How Shareholders’ Views Have Been Taken into Account
Compared to the previously adopted guidelines, the following changes have been made to these proposed guidelines:
• An addition that the Chief Executive Officer’s variable remuneration shall not qualify for pension.
• The maximum scope for other benefits has been made uniform across the group of senior executives. Previously, the maximum value was 15 percent of the cash annual salary for senior executives excluding the Chief Executive Officer, who had a limit of ten percent of the cash annual salary. The current proposal is a limit of ten percent of the cash annual salary for all senior executives.
• The percentage cap in the previous guidelines regarding any non-compete undertaking upon termination of employment has been removed, in order to compensate for the limitation following from such an undertaking.
Beyond what is mentioned above, no material changes have been made to these proposed guidelines compared to the previously adopted guidelines.

Item 17 – Board of Directors’ Proposal for Authorization to Resolve on New Share Issues
The Board of Directors proposes that the General Meeting authorize the Board of Directors to resolve, on one or more occasions during the period up to and including the next Annual General Meeting, with or without preferential rights for shareholders, to issue new shares, convertibles or warrants. New issues may be made against cash payment and/or with provisions for payment in kind, set-off or other conditions. Through resolutions made pursuant to the authorization, the share capital may be increased by a total maximum of SEK 1,650,000 through the issuance of a total maximum of 6,600,000 new shares. In the event of issues without preferential rights for shareholders, the subscription price shall be market-based at the time of the issue resolution.

The reason for any deviation from shareholders’ preferential rights shall be to broaden the shareholder base, raise or facilitate the raising of working capital, increase liquidity in the share, carry out company acquisitions or raise or facilitate the raising of capital for company acquisitions.

A valid resolution under this item requires that the resolution be supported by shareholders representing at least two thirds of both the votes cast and the shares represented at the General Meeting.

Item 18 – Authorization for the Board of Directors to Resolve on Repurchase and Transfer of Own Shares, Conditional upon the Adoption of Legislative Proposal prop. 2025/26:125
The Swedish Government has, in legislative bill 2025/26:125, proposed an amendment to the Swedish Companies Act (Sw. aktiebolagslagen) such that the possibility for public limited liability companies to acquire and transfer own shares shall also apply to companies whose shares are admitted to trading on an MTF platform, including Nasdaq First North Growth Market. The legislative amendments are proposed to enter into force on 5 December 2026. The Board of Directors’ right to utilize the authorization is conditional upon the Swedish Companies Act being amended such that acquisition and transfer of own shares shall also be permitted for companies whose shares are admitted to trading on an MTF platform.
The Board of Directors proposes that the Annual General Meeting authorize the Board of Directors to resolve, on one or more occasions during the period up to and including the next Annual General Meeting, to acquire and transfer own shares on the following terms.
Repurchases of shares may be made on Nasdaq First North Growth Market in accordance with the Nasdaq First North Growth Market Rulebook for Issuers of Shares. The maximum number of own shares that may be repurchased shall not exceed ten (10) percent of all shares in the Company at any given time. Repurchases of shares may only be made at a price per share within the prevailing price range for the share on Nasdaq First North Growth Market at the time of the repurchase. Repurchases shall be made against cash payment.
Transfers may be made of all own shares held by the Company at the time of the Board of Directors’ transfer resolution. Transfers of own shares on Nasdaq First North Growth Market may only be made at a price per share within the prevailing price range for the share on Nasdaq First North Growth Market at the time of the transfer. Transfers of own shares in a manner other than on Nasdaq First North Growth Market shall be made against cash payment, through contribution of assets in kind or through set-off, and the price shall be determined such that the transfer is made on market-based terms. Transfers of own shares in a manner other than on Nasdaq First North Growth Market may be made with deviation from shareholders’ preferential rights.
The purpose of an acquisition or transfer of own shares, and the reason for any transfer with deviation from shareholders’ preferential rights, shall be to enable adjustment and improvement of the Company’s capital structure in order to contribute to increased shareholder value, and to capitalize on strategic business opportunities by financing such opportunities in whole or in part with own shares.
The Board of Directors’ proposal for a resolution to authorize the Board of Directors to resolve on repurchase and transfer of own shares is conditional upon the Swedish Companies Act being amended such that acquisition and transfer of own shares shall also be permitted for companies whose shares are admitted to trading on an MTF platform. The resolution shall not be valid and shall not be implemented in the event that the Swedish Parliament does not adopt such legislative amendments, or until such legislative amendments have entered into force.

Genovis and Plasmidsaurus Introduce SEQguard™ Dino Preserve — Enabling Ambient-Temperature RNA Shipping for Next-Generation Sequencing

March 31, 2026 | |

Genovis AB today announces the commercial launch of SEQguard™ Dino Preserve, an RNA preservation product tested and optimized for Plasmidsaurus, a leading Sequencing as a Service company. The product enables researchers to ship extracted RNA samples at ambient temperatures, eliminating the need for dry ice or cold-chain logistics and making high-quality RNA sequencing more accessible, cost-efficient, and sustainable.

Maintaining RNA integrity during transport has historically required cold-chain logistics involving dry ice or liquid nitrogen — adding cost, logistical complexity, and environmental burden to RNA sequencing workflows. SEQguard™ Dino Preserve addresses this challenge directly, allowing researchers to ship extracted RNA at ambient temperatures without compromising sequencing yield and quality. The product has been validated for seamless integration with Plasmidsaurus’ high-throughput sequencing infrastructure and ultrafast-turnaround service.

The solution delivers a compelling combination of customer benefits: researchers can ship RNA samples reliably at ambient temperatures, significantly reducing shipping costs compared to dry ice logistics while substantially lowering the carbon footprint associated with cold-chain transport. By removing dependency on frozen shipping, SEQguard™ Dino Preserve simplifies sample preparation and gives researchers peace of mind that their samples will arrive intact and sequencing-ready, even over extended shipping times and across distances and climates.

Developed through close collaboration between Genovis’ and Plasmidsaurus’ teams, this innovation is specifically tailored for Plasmidsaurus customers and optimized to integrate seamlessly with their sequencing workflows. It enables consistent, high-quality gene expression profiling from RNA samples shipped globally at ambient temperature. The product is available immediately to Plasmidsaurus’ customers working in RNA sequencing.

“By partnering with Genovis to bring SEQguard™ Dino Preserve into the Plasmidsaurus ecosystem, we’re making high-quality RNA-seq as simple and reliable as dropping off a tube at a local drop box. Together, we eliminate the logistical headache so customers can focus on their science, not shipping — unlocking unprecedented simplicity for ultrafast, high-quality gene expression data,” said Mark Budde, CEO and co-founder of Plasmidsaurus.

“The launch of SEQguard™ Dino Preserve is a strong example of how we are expanding the commercial application of our SEQURNA technology platform,” said Fredrik Olsson, CEO at Genovis. “Powered by the SEQURNA team’s expertise and innovation, this purpose-built solution tackles a persistent challenge in sequencing logistics — delivering speed, cost savings and a meaningfully smaller carbon footprint. This demonstrates both the breadth of our technology platform and our ability to create tangible value for researchers.”

RNA sequencing is among the fastest-growing areas of molecular biology and drug development, driven by advances in transcriptomics, multiomics, single-cell analysis, and target discovery. As throughput increases and sequencing costs decline, sample logistics and workflow efficiency are increasingly important factors in making RNA-seq services globally accessible.
